Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CreatorKrew website, platform, and related services (the "Services") provided by CreatorKrew ("CreatorKrew," "we," "us," or "our"). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

01Who May Use the Services

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract. If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms.

02Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at [email protected] of any unauthorized use. We may suspend or terminate accounts that violate these Terms, present risk to other Users, or fail identity or compliance checks.

03The Platform: Brands and Creators

CreatorKrew connects brands ("Brands") with content creators ("Creators") for the production, publication, and measurement of user-generated content and pay-per-view campaigns. CreatorKrew is not a party to the underlying creative engagement between a Brand and a Creator except where CreatorKrew is expressly engaged as Managed Services provider.

04Fees, Payouts, and Taxes

• Brand fees, campaign budgets, and Managed Services fees are disclosed at checkout or in a separate order form.
• Creator payouts are disbursed through our payment processors (e.g., Stripe, Wise) once eligibility, verification, and anti-fraud checks are cleared.
• You are responsible for your own taxes. We may withhold and report as required by law (including IRS Form 1099-NEC or 1042-S).
• Chargebacks, refunds, and disputed transactions may be reversed against future payouts.

05Content and Licenses

Creators retain ownership of the content they submit, but grant the applicable Brand a license to use approved content for the campaign as described in the brief. Creators grant CreatorKrew a limited, worldwide, non-exclusive license to host, display, and transmit submitted content solely to operate the Services and, in anonymized/aggregated form, to improve them.

06Acceptable Use

You agree not to:

• Submit content that is unlawful, defamatory, infringing, harassing, deceptive, or that violates a platform's terms.
• Purchase, generate, or artificially inflate views, followers, or engagement.
• Circumvent the Platform to solicit off-platform payments for campaigns discovered on CreatorKrew.
• Reverse engineer, scrape, or interfere with the Services.

07Verification, Fraud, and Enforcement

We may verify identity, screen for sanctions and fraud, and audit campaign performance. If we detect bot traffic, non-human engagement, or policy violations, we may adjust reported metrics, withhold payouts, reverse transactions, or terminate accounts.

08Third-Party Platforms

The Services interoperate with third-party platforms (e.g., TikTok, Instagram, YouTube). Your use of those platforms is governed by their own terms. We are not responsible for changes, downtime, or policy decisions by third parties.

09Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE ANY SPECIFIC CAMPAIGN OUTCOME, VIEW COUNT, OR EARNINGS.

10Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREATORKREW WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO CREATORKREW IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11Indemnification

You will defend, indemnify, and hold harmless CreatorKrew and its officers, directors, employees, and agents from any claim arising out of your content, your use of the Services, or your breach of these Terms.

12Termination

You may close your account at any time. We may suspend or terminate access at any time for breach of these Terms, risk to other Users, or as required by law. Sections that by their nature should survive termination will survive (including fees owed, licenses to approved content, disclaimers, limitations, and dispute resolution).

13Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Except where prohibited by law, any dispute will be resolved by binding individual arbitration; you and CreatorKrew waive the right to a jury trial and to participate in a class action.

14Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app notice at least seven (7) days before they take effect. Continued use of the Services after the effective date constitutes acceptance.
